The Exhibitor agrees to occupy the contracted exhibit space during event hours. The Exhibitor agrees that no display will be dismantled, or goods removed during the term of the event, but will remain intact until the end of the final closing hour on the last event day. The last event day is September 21st and the last event hour is 9 p.m. The Exhibitor also agrees to remove its display and equipment from the event site on the move-out day (September 22nd 8 a.m. – 5 p.m.), and in the event of a failure to do so, or failure to return the allocated space to the same condition as at the move-in date, the Exhibitor agrees to pay for any additional costs and expenses incurred by Lessor.

Exhibitors are responsible for all personal equipment. It is the responsibility of each exhibitor to maintain insurance coverage against injury to persons or damage or loss of property in such amounts as the exhibitors deem adequate. The Exhibitor shall not make any claim or demand or take any legal action, whatsoever, against Energy Exposition, Wyoming Energy Authority, or Energy Resources Symposium (Lessor), the event sponsors or the facility in which the event is held, for any loss, damage or injury howsoever caused, to the Exhibitor, its officers, directors, agents, representatives, and employees or their respective property. Exhibitors are responsible for damage they cause to the hosting facility.

The Exhibitor agrees to indemnify and hold harmless Lessor and the facility, their respective officers, directors, agents, representatives, insurers and employees, or those for whom the Exhibitor is responsible in law, against all claims, losses, liability, damages (including legal fees and expenses), costs and charges of every kind resulting from its occupancy of the exhibit space and/or its environs, the use of equipment or devices furnished to or used by the Exhibitor or other persons in connection with the event, and personal injuries, death, property damages or any other damage sustained by the Exhibitor, Lessor, the facility, event sponsors or a visitor to the event and their respective directors, officers, agents, representatives and employees or those for whom the Exhibitor is responsible in law.

The Exhibitor and its agents shall not occupy any other space or place, except as allotted to them by the Lessor. No exhibitor shall assign, sublet, or share the allotted space in whole or part, nor exhibit any other goods or services other than those manufactured or distributed in the regular course of business by the exhibitor.

The lessor, at its sole discretion, reserves the right to restrict exhibits which, because of noise, size, methods of operation or for any other reasons, become objectionable and also reserve the right to prohibit or evict any exhibit which, in the opinion of the lessor, may detract from the general character of the display. This reservation includes persons, things, conduct, printed matter, or anything of a character which may be objectionable to the exhibit as a whole. In the event of such restriction or eviction, the lessor is not liable for any refunds or rentals or other exhibition expense. No exhibit shall violate any municipal, state, or federal law, rules, or regulations, including safety codes.

Exhibitors are required to register all members of their exhibition team. Admittance to the exhibit hall and all symposium functions is restricted to those wearing an event badge provided by the lessor only. Exhibitors are responsible for event badges of representatives and distributors attending with the exhibiting company.

Drawings get you more business cards and contacts! Individual door prizes may be offered at your discretion. If you provide a door prize, it will be your responsibility to select the winner and award the prize. We will be happy to post the winners for you. Be sure to promote this event to your customers!
Lessor reserves the right, in its sole discretion to change or modify the layout of the event and/or relocate exhibits or Exhibitors; cancel, in whole or in part, the event due to an event of force majeure; or change the date, location and duration of the event; without any liability to Lessor. Lessor shall have the right from time to time to establish and amend or modify any regulations or rules governing use of the facility and the event. You are responsible for regularly reviewing these terms and conditions.

The Exhibitor shall have the right to cancel this agreement by notice in writing to be delivered by certified mail to Lessor. All deposits or payments received by Lessor up to the date of notice of cancellation are non-refundable and non-transferable. In the event that the Exhibitor notifies Lessor that it wishes to cancel this agreement; or fails to make payments in accordance with the payment schedule set out herein; or except as otherwise permitted herein, fails to appear at the event; Lessor reserves the right to cancel this agreement without notice and all rights of the Exhibitor hereunder shall cease and terminate; retain any payment made by the Exhibitor as liquidated damages for breach of this agreement; re-rent the said space; and bring action against the Exhibitor for payment of the full cost of the space originally contracted from Lessor.

If the Exhibitor violates or breaches any other terms or conditions of this agreement, all payments made by the Exhibitor and all amounts due to Lessor shall be deemed earned by Lessor and all deposits received shall be non-refundable and non-transferable. In the event of any violation or breach of the terms and conditions of this agreement, Lessor shall have the right to immediately occupy the space of the violating and/or breaching Exhibitor and utilize it in any manner as Lessor deems appropriate, including, but not limited to, renting its use to another exhibitor. The Exhibitor shall not be entitled to any offset or mitigation of the amount due under this agreement as a result of the use of or payment for the space by another exhibitor in the event.

Force Majeure In the event that the facility in which the event is to be held or is held is destroyed or becomes unavailable for occupancy or Lessor is unable to permit the Exhibitor to occupy the facility or the space, or if the event is cancelled or curtailed, for any reasons beyond the control of Lessor, including but not limited to, casualty, explosion, fire, lightning, flood, weather, epidemic, earthquake or other Acts of God, acts of public enemies, riots or civil disturbances, economic conditions, strike, lockout or boycott, Lessor will not be responsible for any loss of business, loss of profits, consequential or special damages or expenses of whatever nature that the Exhibitor may suffer.

All invoices shall be paid within 15 days of invoice date.

Any legal actions required by either party shall take place in the appropriate court located in Natrona County, Wyoming. All legal fees shall be paid by the Exhibitor.

Any Exhibitor not having a pleasant experience should notify a member of the Event Staff to rectify the problem.
